CyberArk is seeking a full-time in-house legal counsel to join its Amsterdam office. This person will act as a trusted advisor on global privacy and data security matters. This position will report to CyberArk’s global Privacy Counsel. 

Responsibilities:

Help maintain a global corporate data privacy program and compliance standards, appropriate for a leading cybersecurity company
Review/negotiate data protection terms and other privacy-related contract terms (such as sales, procurement and employment agreements)
Advise the business on legal requirements applicable to the management of personal information of individuals with whom the company interacts and on issues pertaining to the company’s products/services throughout the development lifecycle
Support cross-functional incident management processes in addressing suspected or actual data privacy and security incidents
Support the activities of various departments throughout the organization, such as marketing, human resources, IT and finance
Research, interpret and provide guidance on international data privacy and security laws as these and the company’s needs evolve

Requirements:

Admitted to the Netherlands bar
At least 5 years of experience, predominantly in data protection/privacy, within a highly regarded law firm or as in-house legal counsel (preferably in a technology company or advisory firm)
Experience of negotiating commercial contracts (with SaaS an advantage)
Creative and pragmatic thinker, who has strong interpersonal skills and provides excellent service to his/her clients
Consistent delivery on commitments – great organizational skills, resourceful and results-oriented
Fluent written and spoken English (German/French an advantage)
Experience in cybersecurity and M&As an advantage

Cergentis, een snelgroeiend biotech bedrijf gericht op genetische analyses, heeft de gepatenteerde Targeted Locus Amplification (TLA) technologie ontwikkeld. Als juridisch adviseur binnen Cergentis ben jij hét aanspreekpunt voor uiteenlopende juridische vraagstukken. Gelet op de groei van de organisatie wordt je vakkennis met name gevraagd bij het aangaan van contracten met internationale afnemers. Je begeleidt onze salesmanagers bij de onderhandelingen. Ook ben je betrokken bij verschillende projecten in de uitbreiding van de organisatie zoals overnames. Daarnaast ben je bekend te werken in de driehoek AVA-Bestuur-RvC  waar je expertise vrijwel dagelijks voor wordt gevraagd. Je rapporteert aan de CFO.

WERKZAAMHEDEN

• Opstellen, beoordelen/controleren van verkoopcontracten en overige juridische documenten
• Inbrengen van voorstellen tot wijziging van condities
• Juridische ondersteuning bij onderhandelingen met internationale afnemers
• Beoordelen en adviseren over betalingszekerheden
• Adviseren in projectteam bij overnames rondom de juridische documentatie
• Geven van advies over inrichting en beheer van de organisatiestructuur
• Beheren en aanpassen van de statuten van de onderneming

FUNCTIE EISEN

• Een (bijna) afgeronde academische opleiding Nederlands Recht (Ondernemingsrecht)
• Minimaal 3 jaar relevante werkervaring als juridisch adviseur

Als advocaat-stagiaire adviseer, onderhandel en procedeer je samen met kantoorgenoten de cliënten van HabrakenRutten, waarbij het doel is hen bij te staan in hun core business. Dit vraagt om een generalistische benadering. Hierbij kan je denken aan vraagstukken op het gebied van aanbestedingsrecht, bouwrecht, bestuursrecht, contractenrecht, vennootschapsrecht, insolventierecht, goederenrecht, financiering en/of zekerheden.

Functie-eisen

HabrakenRutten zoekt een beginnende ambitieuze advocaat-stagiaire. Jij beschikt over:

• Een (bijna) afgeronde master Nederlands recht, in privaatrechtelijke richting.

De Handhavingsjurist binnen de afdeling Veiligheid en Leefomgeving maakt handhavingsbesluiten, advisering in handhavingszaken en begeleiding bij legalisatietrajecten. Hij/zij vertegenwoordigd de gemeente Breda in bezwaar- en beroepsprocedures. Daarnaast is er ruimte voor het voeren van informeel overleg en mediation om zaken ook informeel te kunnen afhandelen. Je bent een juridische vraagbaak voor collega’s en een aanspreekpunt voor burgers en bedrijven.

Functie-eisen

Als Handhavingsjurist bezit je de volgende zaken:

• Ervaring als handhavingsjurist.
• Een afgeronde juridische opleiding op HBO niveau.

About the team

This is a senior role in the finance team of GroupM NL reporting into the CFO of GroupM NL. The role will work closely with GroupM departments, the commercial leads within the  Agency and Specialist companies.

Overview of role

The role is for a sole lawyer based in the Amsterdam, Netherlands office, who will assist with legal matters across GroupM and all of its agencies/specialists. This role reports directly into GroupM NL’s  CFO working closely with GroupM’s Global General Counsel. Much of the work will be in supporting on commercial matters, technology and IP.  Other commercial/advisory work may be required from time to time. The work will comprise a significant proportion of contract drafting and negotiation but will also encompass a range of advice to the business on legal issues arising in relation to our technologies, data usage and data privacy as well as other commercial issues.

Key Responsibilities:

• Drafting and assisting the commercial team with negotiating global client services agreements
• Assisting the commercial team in understanding legal developments
• Working with key stakeholders in the business to manage risk in new and emerging products and services
• Drafting and negotiating supplier agreements, technology licenses, data processing agreements, IP matters and non-disclosure agreements
• Assisting the business in ensuring ongoing compliance with agreed contractual terms and working on ad hoc projects to improve efficiencies/compliance across the business
• Helping to create a high profile of the legal resource throughout the business and encouraging active legal involvement in operational decision making

 Candidate must have:

• Training completed within a law firm

The role

To ensure the further growth of the company, we are looking for a Legal Counsel, based in Amsterdam. This role is a unique opportunity to work in several jurisdictions with focus on the Netherlands, Belgium and Luxembourg.

You are responsible for advising the business on a broad range of commercial and regulatory matters and structuring, drafting and negotiating commercial transactions. You will work alongside the General Counsel and Junior Legal Counsel, all based in Amsterdam but are able to work remotely and you will work closely with other General and Legal Counsels located at the other SoftwareONE subsidiaries. You will work directly with the business on strategic deals, providing day-to-day advice, resolving issues that arise in existing commercial relationships and handling pre-litigation legal disputes and inquiries.

Ultimately reporting to the Group Legal Department, your responsibilities will include, but are not limited to: 

• Support all legal matters within SoftwareONE’s subsidiary in Amsterdam;
• Support all legal matters within SoftwareONE’s subsidiaries in Brussels, Belgium and Luxembourg (Dutch and English requests);
• Full range of legal matters with a focus on software licensing and IT services agreements;
• Reviewing and negotiating licensing agreements and international supplier-, partner- and customer contracts;
• Coordination of the legal relationships with external lawyers and consultants;
• Legal support and oversight of various projects and business divisions in an international environment;
• Global day to day legal business such as documentation and contract management;
• Support of our Sales, Finance, Procurement and HR organization.

What we need to see from you

• Law degree with excellent academic credentials;
• At least 2-4 years’ experience in an international law firm or as an In-house Counsel in the legal department of a company, an IT and/or listed company is an advantage;
• Strong written and oral communication skills in Dutch and English; further languages are an advantage;
• Generalist with knowledge of and experience in commercial and preferably IT law;
• Entrepreneurial, pragmatic and a commercial thinker, ambitious, and enthusiastic to further shape the legal function;
• Experience in compliance, GDPR, data security, and intellectual property matters, and knowledge of local data protection laws is required;
• Experience in negotiating agreements;
• Hands-on project management experience, including excellent organizational skills, the ability to manage a large number and variety of projects, working independently and often in not structured environments;
