• Verantwoordelijk voor een proactieve bijdrage aan de juridische kwaliteitsborging in de werkprocessen en projecten.
• Adviserend in projecten, beleid, bestemmingsplannen en toekomstige omgevingsplan(nen).
• Je bent sparringpartner voor de andere juristen en planologen van het team.
• Het nieuwe instrumentarium van de Omgevingswet maak jij je snel eigen en deze kennis kun jij ook overdragen aan je collega’s binnen het team.
• In samenwerking met de projectleider ‘Implementatie omgevingsplan’ bereid je het team voor op implementatie van de omgevingswet.
• Je voert het juridisch verweer in beroepszaken van bestemmingsplannen.

Op de afdeling Omgevingsplannen begeleiden ze een verscheidenheid aan stedelijke ontwikkelingsprojecten. Daarnaast staat de afdeling voor een grote opgave, namelijk de transitie naar de nieuwe Omgevingswet. Hierbij liggen er veel kansen om beleidsthema’s die nu nog onderbelicht zijn (zoals duurzaamheid, klimaatadaptatie en kansengelijkheid) mee te nemen bij ontwikkelingen in de fysieke leefomgeving. De functievereisten

• Je hebt minimaal een afgeronde hbo opleiding recht.
• De Jurist Omgevingsplannen beschikt over minimaal 3 tot 5 jaar relevante werkervaring.
• Je onderzoekt en analyseert vraagstukken en komt met creatieve oplossingen.
• Is in staat zich zelfstandig nieuwe rechtsgebieden (binnen het ruimtelijk domein) eigen te maken en die kennis te delen.
• Je bent in staat complexe materie kernkrachtig en begrijpelijk over te brengen aan collega's, initiatiefnemers, inwoners en de politiek.
• Is in staat de maatschappelijke, politieke, bestuurlijke en financiële belangen in een juridische afweging te betrekken.
• Kennis van het milieurecht is een pre.
• Je hebt een pragmatische aanpak, vermogen om te verbinden en analytisch denkvermogen waardoor je verbanden legt tussen de diverse regelingen.

Het aanbod

Het betreft een functie voor 32-36 uur in de week. De functie is ingedeeld in gemeenteschaal 10A (min €3277,- en max €4831,- bruto per maand). De gemeente Zaanstad heeft de intentie om bij wederzijdse tevredenheid de aanstelling na een jaar om te zetten naar een vaste aanstelling.

The role

To ensure the further growth of the company, we are looking for a Legal Counsel, based in Amsterdam. This role is a unique opportunity to work in several jurisdictions with focus on the Netherlands, Belgium and Luxembourg.

You are responsible for advising the business on a broad range of commercial and regulatory matters and structuring, drafting and negotiating commercial transactions. You will work alongside the General Counsel and Junior Legal Counsel, all based in Amsterdam but are able to work remotely and you will work closely with other General and Legal Counsels located at the other SoftwareONE subsidiaries. You will work directly with the business on strategic deals, providing day-to-day advice, resolving issues that arise in existing commercial relationships and handling pre-litigation legal disputes and inquiries.

Ultimately reporting to the Group Legal Department, your responsibilities will include, but are not limited to: 

• Support all legal matters within SoftwareONE’s subsidiary in Amsterdam;
• Support all legal matters within SoftwareONE’s subsidiaries in Brussels, Belgium and Luxembourg (Dutch and English requests);
• Full range of legal matters with a focus on software licensing and IT services agreements;
• Reviewing and negotiating licensing agreements and international supplier-, partner- and customer contracts;
• Coordination of the legal relationships with external lawyers and consultants;
• Legal support and oversight of various projects and business divisions in an international environment;
• Global day to day legal business such as documentation and contract management;
• Support of our Sales, Finance, Procurement and HR organization.

What we need to see from you

• Law degree with excellent academic credentials;
• At least 2-4 years’ experience in an international law firm or as an In-house Counsel in the legal department of a company, an IT and/or listed company is an advantage;
• Strong written and oral communication skills in Dutch and English; further languages are an advantage;
• Generalist with knowledge of and experience in commercial and preferably IT law;
• Entrepreneurial, pragmatic and a commercial thinker, ambitious, and enthusiastic to further shape the legal function;
• Experience in compliance, GDPR, data security, and intellectual property matters, and knowledge of local data protection laws is required;
• Experience in negotiating agreements;
• Hands-on project management experience, including excellent organizational skills, the ability to manage a large number and variety of projects, working independently and often in not structured environments;
• A team player and consensus builder with great people skills and a good sense of humour who can effectively and efficiently collaborate and build relationships with attorneys and business clients at all levels throughout the organization;

Provide legal advice to executives on a variety of legal topics impacting the company
Collaborate with management to devise efficient defense strategies
Draft, review, negotiate and interpret a wide range of commercial agreements in support of various company department, including confidentiality agreements, vendor/supplier contracts, consulting agreements, master service agreements, manufacturing agreements, and licensing agreements
Provide litigation support, including assisting with discovery and litigation holds
Provide IP related advice, including supporting patent prosecution
Provide advice and counsel to business teams on creative solutions to complex problems
Respond promptly to internal department requests, summarizing and communicating legal risks while allowing a balance of risk that conforms to the company’s business objectives
Specify internal governance policies and regularly monitor compliance
Research and evaluate different risk factors regarding business decisions and operations
Oversees the selection, retention, management and evaluation of all outside counselCommunicate and negotiate with external parties creating relations of trust

You Bring

10+ years’ experience in legal practice, both with a larger law firm and in-house experience in EMEA
Excellent organizational and planning skills with the capacity to simultaneously handle a variety of complex matters under strict deadlines and pressure
Ability to form strong working relationship with stakeholders and partners while maintaining firm adherence to legal standards
Experience in tangible goods and manufacturing company (automotive, consumer electronics, medical devices, etc.)
Responsive and service-oriented attitude
Experience with start-ups, ability to work both independently and cooperatively
Knowledge and understanding of corporate law and procedures, as well as industry trends and new laws that will impact the company
High degree of professional ethics and integrity
Attention to detail

About the team

This is a senior role in the finance team of GroupM NL reporting into the CFO of GroupM NL. The role will work closely with GroupM departments, the commercial leads within the  Agency and Specialist companies.

Overview of role

The role is for a sole lawyer based in the Amsterdam, Netherlands office, who will assist with legal matters across GroupM and all of its agencies/specialists. This role reports directly into GroupM NL’s  CFO working closely with GroupM’s Global General Counsel. Much of the work will be in supporting on commercial matters, technology and IP.  Other commercial/advisory work may be required from time to time. The work will comprise a significant proportion of contract drafting and negotiation but will also encompass a range of advice to the business on legal issues arising in relation to our technologies, data usage and data privacy as well as other commercial issues.

Key Responsibilities:

• Drafting and assisting the commercial team with negotiating global client services agreements
• Assisting the commercial team in understanding legal developments
• Working with key stakeholders in the business to manage risk in new and emerging products and services
• Drafting and negotiating supplier agreements, technology licenses, data processing agreements, IP matters and non-disclosure agreements
• Assisting the business in ensuring ongoing compliance with agreed contractual terms and working on ad hoc projects to improve efficiencies/compliance across the business
• Helping to create a high profile of the legal resource throughout the business and encouraging active legal involvement in operational decision making

 Candidate must have:

• Training completed within a law firm
• At least 4 year PQE
• Interest in Media
• Desire to develop drafting skills and engage in commercial negotiations
• Willingness to roll up their sleeves and learn how to apply the law practically to a complex business
• Ability to work efficiently, prioritizing conflicting demands from multiple business leads under tight deadlines.
• Able to think strategically and demonstrate sound judgment/good business sense
• Dutch is mandatory
