About the team

This is a senior role in the finance team of GroupM NL reporting into the CFO of GroupM NL. The role will work closely with GroupM departments, the commercial leads within the  Agency and Specialist companies.

Overview of role

The role is for a sole lawyer based in the Amsterdam, Netherlands office, who will assist with legal matters across GroupM and all of its agencies/specialists. This role reports directly into GroupM NL’s  CFO working closely with GroupM’s Global General Counsel. Much of the work will be in supporting on commercial matters, technology and IP.  Other commercial/advisory work may be required from time to time. The work will comprise a significant proportion of contract drafting and negotiation but will also encompass a range of advice to the business on legal issues arising in relation to our technologies, data usage and data privacy as well as other commercial issues.

Key Responsibilities:

  • Drafting and assisting the commercial team with negotiating global client services agreements
  • Assisting the commercial team in understanding legal developments
  • Working with key stakeholders in the business to manage risk in new and emerging products and services
  • Drafting and negotiating supplier agreements, technology licenses, data processing agreements, IP matters and non-disclosure agreements
  • Assisting the business in ensuring ongoing compliance with agreed contractual terms and working on ad hoc projects to improve efficiencies/compliance across the business
  • Helping to create a high profile of the legal resource throughout the business and encouraging active legal involvement in operational decision making

 Candidate must have:

  • Training completed within a law firm
  • At least 4 year PQE
  • Interest in Media
  • Desire to develop drafting skills and engage in commercial negotiations
  • Willingness to roll up their sleeves and learn how to apply the law practically to a complex business
  • Ability to work efficiently, prioritizing conflicting demands from multiple business leads under tight deadlines.
  • Able to think strategically and demonstrate sound judgment/good business sense
  • Dutch is mandatory

This newly created role offers an exciting opportunity to join the International Legal Team supporting a growing business in the ex-US regions of Alnylam, by delivering high quality and timely guidance to the Alnylam business in Canada, Europe, Middle East and Africa (CEMEA) with a particular focus on selectedEuropeancountries, Partner Markets (currently Southeastern Europe, Turkey, Middle East and Africa), and Alnylam’s Supply Chain organization, working closely with other members of the global Legal and Compliance organization, the regional and local Alnylam Expertise Areas and external counsels.The ultimate geographical scope of the role will depend to a large extent on the individual’s qualifications and experience and may evolve over time as a consequence of the rapid growth and expansion of Alnylam in ex-US markets.

 

Summary of Key Responsibilities

  • Draft and negotiate distribution agreements for Alnylam Partner Markets, collaborating with the business to support Alnylam’s expansion in Southeastern Europe, Turkey, Middle East and Africa and other ex-US territories;
  • Provide pragmatic and timely counsel to the business in selected European countries on local legal, compliance, transactional and commercial issues. In that regard, draft and review proposed business/legal arrangements and contracts for the relevant expertise areas in the countries of responsibility;
  • Review product related and disease awareness materials, advise on appropriate strategy and language for scientific, commercial and business documentation and communications according to local laws and Alnylam standards, ensure local legal support for regulatory submissions, market access activities and new product launches;
  • Assist with the management of any pending litigation for the territories of responsibility under the supervision of the Senior Director, International Legal in collaboration with other legal team members;
  • Provide advice and legal support for Alnylam’s Supply Chain organization, include on application and maintenance of all authorizations, permits, licenses, contracts  needed for continued operations, including importation, manufacturing and marketing of products and implementation of product recalls where needed;
  • Monitor changes and developments in the local legal and regulatory environment, keep regional/local management and other Legal and Compliance colleagues apprised of significant developments and trends;
  • Assist regional Legal team as necessary in corporate secretarial matters and ensuring compliance with local regulatory requirements in each market, maintain all corporate records for local subsidiaries under responsibility, directly or through selected external corporate secretarial agencies, as appropriate;
  • Assist regional Compliance with the interpretation of Alnylam global, regional and local policies and procedures and help ensure compliance by local teams;
  • Travel will be required as necessary.

 

Qualifications

  • Law Degree and license to practice law in an EU Member State;
  • Post-qualification legal and compliance experience in the pharmaceutical industry with proven international experience in supporting commercial operations of a pharmaceutical company in CEMEA
  • Specific experience in support distributor/partner markets and negotiation of commercial transactions is preferred;
  • Fluent English language written and spoken skills; additional fluency in other languages is highly valued;
  • Broad based knowledge of general corporate law and solid work experience with regulatory matters, healthcare legislation and regulations related to the promotion of pharmaceutical products and in review of promotional and non-promotional materials in the countries of responsibility;
  • Solid judgment and business acumen and understanding of business operations, particularly in determining the significance of legal matters in the context of business objectives, assessing risks and benefits and providing innovative business and legal solutions;
  • Enthusiastic, self-motivated and efficient, able to proactively identify short and mid-term business needs, to develop strategies and to manage responsibilities independently as well as to facilitate teamwork and to mentor and guide peers;
  • Strong organizational skills in order to prioritize and manage multiple time-sensitive projects simultaneously;
  • Able to work accurately with an appropriate sense of urgency and function effectively and efficiently in a fast-paced and dynamic environment;
  • Strong verbal and written skills with ability to explain complex, challenging issues in a clear manner to all levels of the organization, including senior management;

RESPONSIBILITIES:

EXPERIENCE REQUIRED:

  • German law degree, or European law degree with strong experience in contracting under German law.

  • 6+ years of relevant legal experience.

  • In-house commercial contracting experience dealing with SaaS or software licensing transactions and supporting a sales organisation

  • Excellent negotiating and influencing skills, and a talent for non-confrontational, win-win negotiations

  • Exceptional critical thinking abilities, who possesses strong business acumen and excellent business judgment; must be able to work independently, manage multiple priorities, and pivot between responsibilities in a fast-paced, high-growth environment

  • Excellent verbal and written communication skills with ability to distill complex issues clearly and communicate well both one-on-one and in groups, and in internal and external contexts

  • Desire for close collaboration with sales and sales support to close deals efficiently, with a practical approach

  • Proficient drafting and legal technical skills, with keen attention to detail

  • German native speaker or fluent in German with near native skill. Proficiency degree in English. Working knowledge of an additional European language is an advantage.

As Corporate Legal Counsel you will be part of the small, but dedicated legal team in Amsterdam. You will be one of the key players in the team and a reliable partner for the stakeholders. Our client is an international pharmaceutical company with a focus on eye health. Its EMEA business is expending, and therefore requires an additional EMEA lawyer to optimize the business operations support.
It has a Netherlands branch located in Amsterdam.
Description
The EMEA Legal Counsel forms part of the Legal & Compliance department and is responsible for:
- Legal compliance of the EMEA business operation (by providing legal advice on pan-European business related matters (M&A, laws and regulations, commercial/contracts, pricing&reimbursement, drug safety/pharmacovigliance, clinical studies, data privacy, labor laws, distribution, parallel imports, competition laws);
- providing support to the EMEA Compliance department (assisting with the development of healthcare compliance templates and processes and providing legal advice on general legal compliance matters)
- administrative matters
Profile
- has a Law degree (Masters) from an European university;
- is a Dutch qualified lawyer with 5-7 years experience gained in a law firm and in-house, preferably in an international environment where you have worked on complex international projects;
It is a big advantage if you have gained work experience in the life sciences industry.
Necessary soft skills:
- you are hands-on and solution-oriented, you like to have a pragmatic approach yet you are discreet;
- you are a self-starter with good personal/communications skills and judgment;
- you can work both independently and in a team;
- excellent command of both Dutch and English, both verbal and written;

About the team

This is a senior role in the finance team of GroupM NL reporting into the CFO of GroupM NL. The role will work closely with GroupM departments, the commercial leads within the  Agency and Specialist companies.

Overview of role

The role is for a sole lawyer based in the Amsterdam, Netherlands office, who will assist with legal matters across GroupM and all of its agencies/specialists. This role reports directly into GroupM NL’s  CFO working closely with GroupM’s Global General Counsel. Much of the work will be in supporting on commercial matters, technology and IP.  Other commercial/advisory work may be required from time to time. The work will comprise a significant proportion of contract drafting and negotiation but will also encompass a range of advice to the business on legal issues arising in relation to our technologies, data usage and data privacy as well as other commercial issues.

Key Responsibilities:

  • Drafting and assisting the commercial team with negotiating global client services agreements
  • Assisting the commercial team in understanding legal developments
  • Working with key stakeholders in the business to manage risk in new and emerging products and services
  • Drafting and negotiating supplier agreements, technology licenses, data processing agreements, IP matters and non-disclosure agreements
  • Assisting the business in ensuring ongoing compliance with agreed contractual terms and working on ad hoc projects to improve efficiencies/compliance across the business
  • Helping to create a high profile of the legal resource throughout the business and encouraging active legal involvement in operational decision making

 Candidate must have:

  • Training completed within a law firm
  • At least 4 year PQE
  • Interest in Media
  • Desire to develop drafting skills and engage in commercial negotiations
  • Willingness to roll up their sleeves and learn how to apply the law practically to a complex business
  • Ability to work efficiently, prioritizing conflicting demands from multiple business leads under tight deadlines.
  • Able to think strategically and demonstrate sound judgment/good business sense
  • Dutch is mandatory

Bonuses, but not requirements:

  • Experience of drafting contracts or other legal documents (litigators considered)
  • Experience working with cross-border/international issues
